These Terms govern the provision of Cobalt Oak assessments and the use of the Cobalt Oak website.

These Terms & Conditions (the “Terms”) constitute a legally binding agreement between Cobalt Oak, Switzerland (“Company”, “we”, “us”, “our”) and you (“Client”, “you”, “your”).

They govern the provision of written assessments and related services (collectively, the “Services”), as well as the use of the Cobalt Oak website.

By requesting or using the Services, you agree to be bound by these Terms.

1. Acceptance of the Terms

By requesting or using the Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.

2. Eligibility and Authority

You confirm that you:

  • are legally capable of entering into this agreement; and
  • use the Services in compliance with applicable laws.

If you use the Services on behalf of a company, fund, or other organisation, you represent that you have the authority to bind that entity to these Terms.

3. Description of the Services

Cobalt Oak produces written assessments of named companies operating in regulated AI clinical software. Each assessment is compiled from publicly available regulatory, clinical, and market records, and includes an overall written analysis.

All content provided via the Services is for informational purposes only and does not constitute legal, medical, regulatory, financial, or investment advice. Assessments are non-binding and must be independently verified before any decision is made.

4. Ordering and Acceptance

Assessments are provided on request. Following a request, we confirm whether sufficient public information exists to produce a useful assessment, together with the price and the delivery date.

A binding agreement is formed only once you confirm the quotation in writing. We reserve the right to decline any request without stating reasons.

5. Fees, Payment and Delivery

Fees are agreed in advance on a fixed-price basis per assessment and are stated in the quotation. Unless otherwise agreed, payment is due before work begins.

The delivery period stated in the quotation runs from receipt of payment. Delivery is made electronically in PDF format to the email address you provide.

Unless required by mandatory law, fees are non-refundable once the assessment has been delivered.

6. Permitted Use

Assessments are provided for your internal use and for the internal use of the entity on whose behalf they were commissioned.

You agree not to:

  • publish, resell, sublicense, or redistribute an assessment in whole or in part;
  • share an assessment with third parties without prior written consent, except with your professional advisers bound by confidentiality;
  • scrape, harvest, or extract data from the website using automated means without prior written consent;
  • reverse engineer or attempt to derive our data sources, models, or methodologies;
  • interfere with the security or availability of the website.

7. Client Information

Any information you provide in connection with a request remains yours. You grant Cobalt Oak a limited licence to process it solely for the purpose of assessing feasibility, producing the assessment, and communicating with you.

8. Intellectual Property

All assessments, content, databases, and methodologies forming part of the Services are owned by the Company or its licensors.

On full payment, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the delivered assessment in accordance with Section 6.

9. Confidentiality

Each party shall treat as confidential any non-public information received from the other in connection with the Services, and shall not disclose it without prior written consent, unless required by law.

10. Third-Party Sources and Services

Assessments rely on third-party public sources, including official regulatory and clinical registries. Cobalt Oak is not responsible for the accuracy, completeness, or availability of those sources.

The website may include links to third-party services. Your use of them is governed by their respective terms.

11. Disclaimers

The Services are provided “as is”. Cobalt Oak disclaims all warranties, including accuracy, completeness, and fitness for a particular purpose.

Assessments reflect publicly available information as of the report date. Public records may be incomplete, delayed, or subsequently amended. An absence of records does not establish an absence of facts.

Nothing in an assessment constitutes a recommendation to invest, acquire, or refrain from any transaction.

12. Limitation of Liability

To the maximum extent permitted by law:

Cobalt Oak is not liable for indirect or consequential damages, including loss of profit, loss of opportunity, or investment losses.

Total liability in connection with any assessment shall not exceed the fee paid for that assessment.

Nothing in these Terms excludes liability that cannot be excluded under mandatory Swiss law.

13. Indemnification

You agree to indemnify and hold harmless Cobalt Oak from claims arising from your misuse of the Services or breach of these Terms.

14. Suspension and Termination

Cobalt Oak may decline, suspend, or terminate the provision of Services, with or without notice, if these Terms are breached, if payment is not received, or where required by law or for security reasons.

15. Changes to the Services or Terms

Cobalt Oak may update the Services or these Terms at any time. The Terms applicable to an assessment are those in force at the date the quotation is confirmed.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts at the Company’s registered seat in Switzerland, unless mandatory law provides otherwise.
