These Terms & Conditions (the “Terms”) constitute a legally binding agreement between Cobalt Oak, Zurich, Switzerland (“Company”, “we”, “us”, “our”) and you (“User”, “you”, “your”).
They govern your access to and use of the Cobalt Oak Platform, a SaaS-enabled web platform, including all related websites, applications, content, data, and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
1. Acceptance of the Terms
By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms.
If you do not agree, you must not access or use the Services.
2. Eligibility and Authority
You confirm that you:
- are legally capable of entering into this agreement; and
- use the Services in compliance with applicable laws.
If you use the Services on behalf of a company, fund, or other organisation, you represent that you have the authority to bind that entity to these Terms.
3. Description of the Services
The Cobalt Oak Platform provides information, insights, analytics, signals, and research content related to digital health, One Health, sustainability, and related sectors.
All content provided via the Services is for informational purposes only and does not constitute legal, medical, regulatory, financial, or investment advice.
4. Accounts and Security
Some features require account registration.
You agree to:
- provide accurate and complete information;
- keep your account details up to date;
- maintain the confidentiality of your login credentials.
You are responsible for all activities conducted through your account.
5. Access Model and Subscriptions
The Services are offered through:
- free access; and
- paid subscription plans, which provide enhanced or premium features.
Subscription details, pricing, billing cycles, and entitlements are described at the point of purchase.
Unless required by mandatory law, fees are non-refundable once paid.
6. Permitted Use
You may use the Services solely for lawful purposes and in accordance with these Terms.
You agree not to:
- scrape, harvest, or extract data using automated means without prior written consent;
- reverse engineer, decompile, or attempt to derive source code, models, or methodologies;
- resell, sublicense, or redistribute the Services;
- use the Services for competitive benchmarking;
- interfere with the security or availability of the Services.
7. User Content
If you submit content or data (“User Content”), you retain ownership of such content.
You grant Cobalt Oak a limited licence to host, process, and display User Content solely to operate and improve the Services.
8. Intellectual Property
All content, software, databases, and methodologies forming part of the Services are owned by the Company or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services.
9. Confidentiality
Non-public information relating to the Services must be treated as confidential and must not be disclosed without prior written consent, unless required by law.
10. Third-Party Services
The Services may include integrations with or links to third-party services.
Cobalt Oak is not responsible for third-party services.
Your use of them is governed by their respective terms.
11. Disclaimers
The Services are provided “as is” and “as available”.
Cobalt Oak disclaims all warranties, including accuracy, completeness, and fitness for a particular purpose.
Information provided may be incomplete, evolving, or subject to change and must be independently verified.
12. Limitation of Liability
To the maximum extent permitted by law:
Cobalt Oak is not liable for indirect or consequential damages.
Total liability shall not exceed the fees paid by you during the six (6) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Cobalt Oak from claims arising from your misuse of the Services or breach of these Terms.
14. Suspension and Termination
Cobalt Oak may suspend or terminate access, with or without notice, if:
- these Terms are breached;
- a subscription expires; or
- required by law or security reasons.
15. Changes to the Services or Terms
Cobalt Oak may update the Services or these Terms at any time.
Continued use after changes constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Switzerland.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland, unless mandatory law provides otherwise.
